CountaBill
End User Licence Agreement

This EULA is the agreement between you and Logical Solutions Innovations (Pty) Ltd ("LSI", "we", "us") governing your use of the CountaBill mobile app. By installing or using the app you accept it. If you do not accept it, do not install or use the app.
1. Licence grant
Subject to your compliance with this EULA, LSI grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and run one copy of CountaBill on any Apple-branded device that you own or control, or that is permitted under the App Store Terms of Service, for your personal, non-commercial use.
2. Restrictions
You must not:
- copy the app, except as expressly permitted by this licence;
- modify, translate, adapt, or create derivative works of the app;
- reverse engineer, decompile, disassemble, or attempt to derive source code, except to the extent this restriction is prohibited by mandatory law;
- rent, lease, lend, sell, sublicense, or otherwise transfer the app to any third party;
- remove or alter any proprietary notices;
- use the app in violation of our Acceptable Use Policy or any applicable law.
3. Ownership
CountaBill is licensed, not sold. LSI retains all right, title, and interest in and to the app, including all intellectual property rights. All rights not expressly granted are reserved.
Your data is yours. This clause covers the software, not the transactions, receipts, or budgets you record with it — see the Privacy Policy for how we handle those, and use Profile → Export my data to take a copy at any time.
4. Updates
LSI may from time to time provide updates to the app. Updates may add, modify, or remove features. Updates may be automatically downloaded and installed by the operating system.
5. Third-party services
The app relies on third-party services (Google Firebase, Google Gemini, Apple, and others listed on our Subprocessors page). Their availability is outside our control and their own terms may also apply to you.
6. Age eligibility
You must be 18 or older to use CountaBill. The app asks for your date of birth at sign-up and blocks accounts below this age.
7. Fees
CountaBill is currently free. If we introduce paid features, pricing and billing terms will be disclosed at the point of purchase and the Refund Policy will apply.
8. Data and privacy
Our handling of your personal information is governed by the Privacy Policy, which forms part of this agreement. AI-assisted receipt scanning is described in the AI Transparency Notice.
9. Warranty disclaimer
To the maximum extent permitted by law, the app is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
CountaBill is a personal record-keeping tool, not financial advice. LSI is not a registered Financial Services Provider, credit provider, or bank. Nothing in the app constitutes financial, tax, investment, or legal advice. Receipt scanning is AI-assisted and can misread values — always check the extracted figures before saving.
10. Limitation of liability
To the maximum extent permitted by law, LSI's aggregate liability arising out of or relating to the app or this EULA is limited to the greater of (a) the amount you paid to LSI for the app in the 12 months before the event giving rise to liability, or (b) ZAR 500. LSI is not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, even if advised of the possibility.
Nothing in this EULA excludes or limits liability that cannot be excluded under applicable law, including for fraud, gross negligence, or death or personal injury caused by negligence.
11. Termination
This EULA remains in effect until terminated. It terminates automatically if you fail to comply with any of its terms. On termination you must stop using the app and delete all copies. Sections 3, 9, 10, and 13 survive termination.
You may terminate at any time by uninstalling the app and deleting your account (Profile → Delete account). Deleting your account erases your personal data as described in the Privacy Policy.
12. Apple-specific terms (App Store)
Where you obtained CountaBill through the Apple App Store, you acknowledge and agree that:
- This EULA is concluded between you and LSI only, and not with Apple. LSI, not Apple, is solely responsible for CountaBill and its content.
- Apple has no obligation to furnish maintenance or support services for the app.
- If CountaBill fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the app, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are LSI's sole responsibility.
- LSI, not Apple, is responsible for addressing any user or third-party claims relating to CountaBill or your possession and use of it, including product liability, consumer protection, and intellectual property infringement claims.
- In the event of any third-party claim that the app or your possession and use of it infringes that party's intellectual property rights, LSI (not Apple) will be solely responsible for the investigation, defence, settlement, and discharge of any such claim.
- You represent and warrant that you are not located in a country subject to a US Government embargo or designated by the US Government as a "terrorist supporting" country, and are not listed on any US Government list of prohibited or restricted parties.
- Apple and Apple's subsidiaries are third-party beneficiaries of this EULA and, upon your acceptance of it, will have the right to enforce it against you.
13. Export control
You must comply with all applicable export and re-export control laws and regulations in your use of the app.
14. Governing law and disputes
This EULA is governed by the laws of the Republic of South Africa. The courts of South Africa have exclusive jurisdiction, subject to any mandatory consumer protection laws of your country of residence that grant you the right to bring proceedings in your local courts. If you are a consumer in the EU, UK, or South Africa, nothing here removes rights you have under the consumer law that applies to you.
15. Entire agreement
This EULA, together with the Terms of Service and Privacy Policy, is the entire agreement between you and LSI regarding the app.
16. Changes
Material changes are announced in-app and by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
